1. Scope of Services
These General Terms and Conditions (“GTC”) form an integral part of all agreements between the client and S.C.A. Alarm unless otherwise agreed in writing.
The services covered include:
- Security consulting and planning
- Property protection and guarding services
- Surveillance (museums, parks, events, etc.)
- Plant and industrial security
- Reception and service security
- Patrol and monitoring services
- Alarm and emergency response services
- Secure transport and protection services
- Traffic and event services
- Security technology and monitoring systems
- Elevator safety and emergency systems
2. General Provisions
The contractor operates a 24/7 alarm receiving center that monitors security, technical alerts, and emergency calls.
Services are provided based on individual agreements depending on client requirements.
3. Client Responsibilities
The client is responsible for:
- Installation and maintenance of alarm and security systems
- Covering all related technical costs
- Providing accurate and updated information
The contractor assumes no liability for system failures or installation issues.
4. Test Alarms
Test alarms must be scheduled in advance.
- Clients bear the cost of false or unscheduled alarms
- Tests ensure proper system functionality
5. Personnel
All personnel:
- Wear uniforms or approved clothing
- Carry identification
- Can only perform agreed services
6. Service Execution
Services are performed strictly according to:
- Service description
- Special instructions
- Emergency plans
Adjustments may occur during emergencies if necessary.
7. Keys and Access
Clients must provide necessary keys free of charge.
- Replacement costs are borne by the client
- The contractor’s liability for key loss is limited.
8. Facilities
Clients must provide suitable working conditions including:
- Workspace
- Lighting, heating, and sanitation
(This does not apply to remote or off-site services.)
9. Data Protection
Client data may be processed and shared with authorized service providers strictly for the purpose of delivering agreed services.
All data is handled confidentially and securely.
10. Service Interruptions
In cases of force majeure (e.g., disasters, strikes, terrorism):
- Services may be suspended
- The contractor shall not be held liable.
- Clients are not charged during full interruptions
11. Contract Formation
Contracts are valid only when confirmed in writing.
Order priority:
- Order confirmation
- Service instructions
- Service description
- Emergency plan
- Terms and Conditions
12. Contract Duration
- Standard duration: 1 year
- Automatically renewed unless canceled 2 months prior
13. Fees and Charges
Clients must pay agreed fees for services.
Additional charges apply for:
- Emergency responses
- Extra or urgent services
14. Payment Terms
- Invoices issued monthly
- Payment is due within 8 days from the invoice date.
- Late payments may incur interest and legal action
15. Complaints
Complaints must be submitted in writing within 7 days.
Failure to do so may void claims.
16. Liability
The contractor is liable only within insured limits:
- Up to EUR 1,450,000 for personal damage
- Up to EUR 44,000 for theft/burglary
No liability for:
- Indirect damages
- Third-party claims
- Force majeure events
17. Disclaimer
No liability for:
- Loss of income
- Business interruption
- Delayed emergency response
Claims must be reported immediately and legally pursued within required timelines.
18. Legal Transfer
In case of ownership change, the contract obligations transfer to the new party.
19. Non-Solicitation Clause
Clients may not hire contractor staff during the contract and for 1 year after.
A contractual penalty equivalent to ten (10) times the monthly service fee shall apply.
20. Jurisdiction
All legal matters are subject to the competent court in the USA.
